Welcome to the official website of Filmore Real Estate Development Corporation (hereinafter referred to as “FMR”, the “Company” or “We”) at the domain name filmore.com.vn (hereinafter referred to as the “Website”). The Website is developed, owned and operated by FMR.
The Website is intended to introduce FMR, including the Company’s capabilities, business areas, corporate social responsibility, news, media activities and recruitment information. By accessing, viewing or using any content, image or feature of the Website, any person accessing or using the Website (hereinafter collectively referred to as the “Customer”) confirms that they have read, understood, and agree to be bound by these Terms and Conditions of Use (the “Terms”), together with the other policies published on the Website, including the Personal Data Protection Regulation Applicable to Customers available at: [Link] (the “Personal Data Protection Regulation”). If the Customer does not agree with any provision of these Terms, the Customer is kindly requested not to continue accessing or using the Website.
1. ACCEPTANCE OF TERMS
1.1. These Terms constitute a legal agreement between the Customer and FMR, setting out the principles, rights and responsibilities applicable to the access to and use of the Website.
1.2. The Customer’s continued access to or use of the Website after these Terms are published, or after any amendment or supplement hereto, shall be deemed to constitute the Customer’s acceptance of all relevant provisions.
2. COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS
2.1. All content on the Website, including but not limited to forms, text, images, perspective renderings, designs, graphics, interfaces, logos, trademarks, trade names, source code, domain names, the Personal Data Protection Regulation and these Terms (the “Content”), is owned by FMR or lawfully licensed to FMR by third parties, and is protected under the Law on Intellectual Property and other relevant laws.
2.2. Any copying, quoting, modification, distribution, transfer, use, publication or commercialisation of the Content in any form without the prior written consent of FMR constitutes an infringement of FMR’s intellectual property rights. FMR reserves the right to demand the cessation of such infringement and to claim compensation for damages (if any) in accordance with the law.
2.3. FMR permits the Customer to view, print or share the Content for personal, non-commercial reference purposes, provided that all copyright notices and source attributions to FMR are retained.
3. INFORMATION ON THE WEBSITE – LIMITATION OF LIABILITY
3.1. Information about FMR, including its capabilities, business areas, corporate social responsibility, personnel, news, events, awards and other communications content published on the Website, is provided for introductory purposes as at the time of publication and may change in line with FMR’s actual operations from time to time.
3.2. Information on the planning, design, amenities, selling prices, payment methods, implementation schedule and other related information of real estate projects published on the Website is provided for introductory and reference purposes as at the time of publication, and may be adjusted pursuant to decisions of competent state authorities, the actual implementation progress of the relevant project, or the sales policies of FMR or the owner of the relevant project from time to time (applicable to projects for which FMR acts as the representative, developer or distributor, if any).
3.3. Perspective renderings, 3D films, AI-generated images, illustrative images and models, show units, materials, fixtures and equipment displayed on the Website are intended to illustrate design concepts and may differ from the actual product at handover. The information referred to in this Section 3.3 may be adjusted or changed in line with any adjustment or change to the matters set out in Section 3.2 above.
3.4. For projects of which FMR is the project owner, the information that is legally binding on the parties shall be the information publicly disclosed by FMR in accordance with Clauses 2, 3, 4 and 5, Article 6 of the Law on Real Estate Business No. 29/2023/QH15 dated 28 November 2023 (including any amending, supplementing and implementing documents in effect from time to time) (the “Law on Real Estate Business 2023”) and the specific provisions of the deposit agreement, sale and purchase / lease-purchase / lease agreement or any other transaction document entered into between FMR and the Customer (hereinafter collectively referred to as the “Transaction Documents”). In the event of any discrepancy between the introductory content on the Website and the Transaction Documents, the Transaction Documents shall prevail.
3.5. For projects for which FMR acts as the representative, developer or distributor, the information that is legally binding on the parties shall be the information published on the dedicated website of the relevant real estate project.
3.6. FMR undertakes to:
3.6.1. Update the publicly disclosed information on the Website upon any change in the planning, legal status or progress of projects of which FMR is the project owner, within the time limits prescribed by the Law on Real Estate Business 2023; and
3.6.2. Not invoke these Terms to exempt itself from liability for any information that a project owner is required to publicly disclose under the Law on Real Estate Business 2023.
4. COLLECTION, USE AND PROTECTION OF PERSONAL DATA
The collection, use, processing and protection of the Customer’s personal data in connection with the access to and use of the Website shall be carried out in accordance with the Personal Data Protection Regulation and applicable laws.
5. COOKIE MANAGEMENT
5.1. The Website may use cookies and similar technologies to remember display preferences, measure and analyse traffic, and recommend products and projects suited to the Customer’s needs. Certain cookies are placed and operated by third-party measurement and advertising service providers.
5.2. The Website provides a Cookie Consent Banner that allows the Customer to accept or reject each category of cookies (essential / analytics / advertising) before any non-essential cookies are activated. Essential cookies required for the operation of the Website are applied by default. Rejecting cookies may affect certain features and the user experience on the Website.
6. LINKS TO THIRD-PARTY WEBSITES
The Website may contain links to third-party websites for the Customer’s convenience. FMR does not control and is not responsible for the content, privacy policies or practices of such third-party websites. The Customer accesses and uses such websites at their own responsibility.
7. RIGHTS AND RESPONSIBILITIES OF THE CUSTOMER
7.1. When accessing and using the Website, the Customer has the right to:
7.1.1. Be informed of the collection, use and processing of their personal data; withdraw consent; request access to, rectification or erasure of their personal data; and exercise other rights of data subjects in accordance with the laws on personal data protection. The procedures for exercising these rights are set out in the Personal Data Protection Regulation;
7.1.2. Manage, reject or delete cookies in accordance with Section 5.2 of these Terms;
7.1.3. Use the Content of the Website for personal, non-commercial reference purposes in accordance with Section 2.3 of these Terms; and
7.1.4. Contact FMR using the details set out in Section 11 to request clarification, provide feedback or lodge complaints regarding the Website and the processing of personal data.
7.2. When accessing and using the Website, the Customer is obliged and undertakes to:
7.2.1. Have full civil legal capacity and capacity for civil acts as prescribed by law to access and use the Website and to provide information in accordance with these Terms and the Personal Data Protection Regulation;
7.2.2. Provide truthful and accurate information when submitting details via forms on the Website;
7.2.3. Refrain from any unauthorised intrusion, distribution of malicious code, or any act that compromises the security or normal operation of the Website;
7.2.4. Refrain from using the Content of the Website for commercial or unlawful purposes without the written consent of FMR;
7.2.5. Refrain from using robots, automated crawlers or any other automated means to access, copy, aggregate or analyse the Content of the Website without the written consent of FMR;
7.2.6. Bear sole responsibility for their own decisions made on the basis of the reference information on the Website, save for information subject to mandatory public disclosure under Section 3.4 of these Terms; and
7.2.7. Indemnify and hold harmless FMR and all of its employees, managers, representatives, agents, member companies and related third parties from and against any and all lawsuits, disputes, damages, costs and expenses (including but not limited to legal fees) arising out of or in connection with the Customer’s access to and use of the Website.
8. DISCLAIMER
8.1. To the extent permitted by the laws of the Socialist Republic of Vietnam, FMR disclaims all liability and makes no warranty that the Website will be free from operational errors, secure or uninterrupted, nor any warranty as to the accuracy, completeness, timeliness or fitness for purpose of the information displayed.
8.2. With respect to signal transmission and information downloads, FMR shall not be liable for any incident beyond its control, including: (i) delays, interruptions, errors or loss of signal caused by transmission equipment not under FMR’s control; (ii) viruses or other harmful programs not attributable to FMR’s fault; or (iii) losses to the Customer’s systems, software, equipment or infrastructure arising from any of the foregoing causes.
8.3. FMR shall not be liable for any direct or indirect loss or damage relating to loss of data, service interruption or legal consequences arising from the access to or use of the Website.
9. AMENDMENTS TO THE TERMS
FMR reserves the right to amend and supplement these Terms from time to time to comply with legal requirements or to meet the operational needs of the Website. Any amendment shall take effect from the time it is published on the Website. FMR encourages the Customer to review these Terms regularly to stay informed of any changes.
10. GENERAL PROVISIONS
10.1. These Terms shall be governed by the laws of the Socialist Republic of Vietnam.
10.2. Any dispute arising in connection with the use of the Website shall, as a priority, be resolved through negotiation and/or mediation. If the dispute cannot be so resolved, it shall be referred to the Vietnam International Arbitration Centre (VIAC) for resolution in accordance with the Rules of Arbitration of VIAC.
10.3. If any provision of these Terms is held to be invalid or unenforceable by a decision of a competent authority, the remaining provisions shall remain in full force and effect.
10.4. Any failure or delay by FMR in exercising any right under these Terms shall not constitute a waiver of such right.
